These Terms of Service (“Terms“) govern your access to and use of the Stadar AI website, mobile applications, software, dashboards, APIs, analytics services, and related products and services (collectively, the “Services“) provided by Stadar AI (“Stadar AI,” “we,” “our,” or “us“).

The Services include:

The Stadar AI website;
Web-based platform;
iOS applications available through the Apple App Store;
Android applications available through Google Play;
APIs and integrations;
Analytics dashboards;
Reports and related services.

By accessing, downloading, installing, or using any of the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. About Stadar AI

Stadar AI is a predictive student wellbeing and mental health intelligence platform designed to support educational institutions through data-driven insights, trend analysis, risk identification, and wellbeing intelligence.

The Services are intended solely to assist qualified institutional personnel in making informed decisions.

The Services do not replace:

professional judgment;
counselling services;
healthcare services;
emergency services; or
institutional responsibilities.

2. Eligibility

You may use the Services only if:

you have the legal capacity to enter into these Terms;
you are authorized by your educational institution or organization where applicable;
your use complies with all applicable laws and regulations; and
if you are under the age required to enter into a binding contract under applicable law, you use the Services only with appropriate authorization or consent where legally required.

If you use the Services on behalf of an institution or organization, you represent that you have authority to bind that entity to these Terms.

3. Mobile Applications

The Services may be made available through mobile applications distributed via the Apple App Store and Google Play.

When using the mobile application:

You are responsible for maintaining the security of your device.
You are responsible for all activity occurring through your device and account.
You agree to comply with all applicable app store terms and policies.
Certain functionality may require internet connectivity.
Standard carrier charges and data usage fees may apply.
Automatic updates may be installed to improve security, functionality, or performance.

The availability of features may differ between platforms, devices, operating systems, or regions.

4. App Store Terms

If you download the iOS application through the Apple App Store:

Apple is not a party to these Terms.
Apple has no obligation to provide maintenance or support services for the application.
Apple is not responsible for claims relating to the application, including product liability claims, consumer protection claims, or regulatory claims.
To the extent permitted by law, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you download the Android application through Google Play, your use is also subject to the applicable Google Play Terms of Service.

5. Account Registration

Certain features require an account.

You are responsible for:

maintaining the confidentiality of your login credentials;
safeguarding devices used to access the Services;
promptly notifying us of suspected unauthorized access;
ensuring your account information remains accurate and current.

You remain responsible for all activities conducted under your account.

6. Institutional Responsibility

Educational institutions remain solely responsible for:

student welfare decisions;
counselling decisions;
academic decisions;
disciplinary decisions;
intervention strategies;
allocation of institutional resources; and
compliance with applicable education, privacy, healthcare, and child protection laws.

Stadar AI provides information and decision-support tools only.

Institutions retain full responsibility for decisions affecting students, staff, or other individuals.

7. No Medical Services

Stadar AI is not:

a healthcare provider;
a medical device;
a therapist;
a psychologist;
a psychiatrist;
a counselling service; or
an emergency response service.

The Services do not provide:

medical advice;
diagnosis;
treatment;
crisis intervention; or
emergency assistance.

Individuals experiencing a mental health crisis should immediately contact local emergency services or an appropriately qualified healthcare professional.

8. Human Oversight Requirement

The Services are designed to assist—not replace—human decision-making.

All alerts, predictions, recommendations, scores, reports, indicators, and analyses must be reviewed by appropriately qualified personnel.

No decision affecting an individual should be based solely on automated processing or AI-generated outputs.

Users remain responsible for exercising independent judgment.

9. AI-Generated Outputs

The Services may use artificial intelligence, machine learning, statistical modelling, predictive analytics, and automated processing.

AI-generated outputs:

may be incomplete;
may contain inaccuracies;
may not reflect all relevant circumstances;
should not be treated as factual determinations; and
are not professional advice.

Stadar AI makes no guarantee regarding the accuracy, completeness, reliability, or suitability of AI-generated outputs.

10. Acceptable Use

You agree not to:

use the Services for unlawful purposes;
attempt unauthorized access;
interfere with platform security;
upload malicious software;
reverse engineer the Services except where legally permitted;
misuse AI-generated outputs;
discriminate against or harm individuals using platform outputs;
represent platform outputs as medical diagnoses or professional opinions.

11. Data Ownership

Unless otherwise agreed in writing:

institutions retain ownership of their institutional data;
users retain rights in information they submit;
Stadar AI retains ownership of the Services, software, algorithms, AI models, interfaces, documentation, trademarks, and intellectual property.

Nothing in these Terms transfers ownership of Stadar AI technology.

12. License

Subject to these Terms, Stadar AI grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for authorized internal purposes.

You may not:

resell the Services;
sublicense access;
commercially exploit the Services;
copy or distribute the software;
create derivative works except where expressly permitted.

13. Intellectual Property

All intellectual property rights in the Services remain the exclusive property of Stadar AI or its licensors.

This includes:

software;
source code;
AI models;
algorithms;
reports;
dashboards;
documentation;
trademarks;
branding;
user interfaces; and
content.

14. Privacy

Your use of the Services is governed by the Stadar AI Privacy Policy.

By using the Services, you acknowledge that information may be collected, processed, stored, and used as described in that Privacy Policy.

15. Device Permissions

The mobile application may request access to certain device features such as:

notifications;
camera;
storage;
microphone (where applicable); and
biometric authentication (if supported).

You may control these permissions through your device settings.

Some features may not function correctly if permissions are disabled.

16. Security

Users must:

protect account credentials;
secure devices used to access the Services;
report suspected security incidents promptly;
follow institutional security policies.

Although Stadar AI employs commercially reasonable safeguards, no system is completely secure.

17. Service Availability

We strive to maintain reliable Services but do not guarantee uninterrupted availability.

The Services may be unavailable because of:

maintenance;
infrastructure failures;
cyber incidents;
third-party service interruptions;
operating system updates;
app store distribution issues.

We may modify, suspend, or discontinue features at any time.

18. Beta Features

Certain functionality may be identified as beta, preview, experimental, or pilot.

Such features are provided “AS IS” and may:

change without notice;
contain errors;
produce incomplete results; or
be discontinued.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

STADAR AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
NON-INFRINGEMENT;
ACCURACY;
RELIABILITY; AND
AVAILABILITY.

WE DO NOT WARRANT THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STADAR AI SHALL NOT BE LIABLE FOR:

indirect damages;
incidental damages;
consequential damages;
special damages;
loss of profits;
loss of business;
loss of data;
reputational harm.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID FOR THE SERVICES DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

21. Indemnification

You agree to defend, indemnify, and hold harmless Stadar AI and its affiliates, officers, employees, contractors, licensors, and partners from claims arising from:

your breach of these Terms;
misuse of the Services;
violation of applicable law;
unauthorized use of your account; or
decisions made using platform outputs.

22. Suspension and Termination

We may suspend or terminate access if:

these Terms are violated;
required by law;
security risks arise;
necessary to protect users, institutions, or the platform.

Upon termination, your right to use the Services immediately ceases.

23. Governing Law

These Terms are governed by the laws of India.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

24. Changes to These Terms

We may update these Terms from time to time.

Updated versions will be published through the website and, where appropriate, within the mobile application.

Your continued use of the Services after the effective date of revised Terms constitutes acceptance of those changes.

25. Third-Party Services

The Services may integrate with third-party platforms, cloud providers, authentication providers, analytics providers, or communication services.

Stadar AI is not responsible for third-party products or services, which remain subject to their own terms and privacy policies.

26. Export Compliance

You agree not to use or export the Services in violation of applicable export control or sanctions laws.

28. Entire Agreement

These Terms, together with the Privacy Policy and any applicable written agreements between Stadar AI and an institution, constitute the entire agreement governing use of the Services.

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
